Askable Industry Streams Terms

1. Introduction

The purpose of this policy is to:

  • Askable Industry Streams is an add on subscription to Askable. Your access to use of any features or functionality madeavailable as part of Askable Industry Streams is subject to these additional terms and conditions ( Terms). These Termsapply in addition to the Customer SaaS Agreement or Partner SaaS Agreement, as applicable (Agreement) between youand Askable and must be read in conjunction with the Agreement.
  • In these Terms, Askable Industry Streams means the:
    1. industry research and business insight data (including Personal Data) that is compiled and made available to youby Askable as part of the Services (Industry Data); and
    2. any machine learning-powered features and functionalities provided by Askable within the Services, which maybe used to analyse and provide data-driven decisions based on the Industry Data (Askable AI). These AI capabilitiesmay be described within these Terms, the Askable AI Terms, the Documentation, Askable’s website, or within inthe Services interface.
  • By registering for, accessing and/or otherwise using Askable Industry Streams, you acknowledge that you have read,understood, and agree to be bound by these Terms. If you do not agree to these Terms, then you cannot use the AskableIndustry Streams.
  • Any capitalised words used in these Terms have the same meaning as in the Agreement, unless stated otherwise.
  • We may change these Terms from time to time. Material changes will be published on our website.

2. Terms

  • These Terms commence on the date you first register for or otherwise access the Askable Industry Streams(Commencement Date) and continue for:
    1. where a Trial Licence is obtained without a subsequent Full Licence, the Trial Period;
    2. where a Trial Licence is obtained with a subsequent Full Licence, the Trial Period, the Initial Term and anysubsequent Rollover Term; or
    3. where a Full Licence is obtained without a previous Trial Licence, the Initial Term and any subsequent Rollover Term.

      unless terminated earlier under clauses 2(c), 3(d) or 10 (Term)
  • Clauses 2(c) to 2(e) apply for a Full Licence only.
  • Either party may terminate these Terms by giving at least 30 days’ written notice to the other party before the expiry ofthe Initial Term or a Rollover Term (as applicable), in which case the termination is effective immediately on the expiryof that 30-day period.
  • Prior to the expiry of the Initial Term or a Rollover Term (as applicable), we will review the terms and give you written notice at least 60 days before the expiry of that period of any changes to apply to the subsequent Rollover Term.
  • Unless notice is given under clause 2(c), these Terms will continue in force for the Rollover Term on the same termsbeyond the expiry of the then-current period save as varied under clause 2(d) or otherwise under these Terms.

3. Trial Licence

  • This clause 3 applies where you register for a Trial Licence.
  • Subject to payment of the Fees (if applicable) and compliance with these Terms, we grant you a non-exclusive, revocable, non-sublicensable, and non-transferable licence to access and use the Askable Industry Streams for the Trial Period inline with the Documentation.
  • You acknowledge that Askable Industry Streams made available to you during the Trial Period is subject to any limitations set out in the Documentation.
  • You may terminate the Trial Licence at any time prior to expiry of the Trial Period by 14 days written notice to us.
  • On expiry of the Trial Period, and unless terminated pursuant to clause 3(d), these Terms will continue for the Initial Termand any Rollover Terms in respect of the Full Licence.

4. Askable Industry Streams

4.1 Disclaimers

  • The Askable Industry Streams is offered on an ‘as is’ basis (subject to any rights you may have under applicable laws,regulations, rules and codes (Applicable Laws).
  • By agreeing to use or otherwise accessing the Askable Industry Streams, you acknowledge and agree that:
    1. the Askable Industry Streams must be used for internal business purposes only:
    2. you remain responsible for all activities that occur under your usernames and accounts, including where Fees areincurred;
    3. Askable does not warrant or represent that Askable Industry Streams is error free, or that it will be uninterruptedand available at all times;
    4. Askable makes no warranties or representations that use of Askable Industry Streams will achieve any particular results:
    5. Askable does not provide any warranties that the Askable Industry Streams (or any use of the Askable IndustryStreams) will be accurate, error-free, reliable or suitable for any purpose; and
    6. the Industry Data (or any use of the Industry Data in relation to the Askable AI):
      1. may contain errors, omissions, unexpected behaviour or opinions that are not intended to be relied onwithout appropriate human review and validation;
      2. does not reflect any views, beliefs or opinions of Askable; and
      3. Industry Data and Outputs must not be published, distributed, broadcast, screened, or otherwisecommunicated publicly. They may be used internally within your organisation solely for analysis anddecision-making purposes, and must not be included in any report, presentation, or communication(internal or external) that will be circulated outside the team directly involved in the project. Under nocircumstances may any materials containing video, audio, or other identifiable information about aParticipant be shared publicly or in any way that could reveal their identity.

4.2 Your obligations

You must, and must ensure each of your Authorised Users:You must, and must ensure each of your Authorised Users:

  • comply with all reasonable directions given by us in connection with the Askable Industry Streams and Industry Data, including any recommendations regarding backup routines, security settings and virus checking;
  • ensure all usernames, passwords and other account information associated with the Askable Industry Streams are kept up-to-date, secure from unauthorised use or access, and promptly notify us of any known or suspected unauthorised useof or access to your account;
  • report to us immediately and use reasonable efforts to immediately stop any activity in breach of clause 4.1(b)(vi)(C);
  • comply with:
    1. these Terms;
    2. the Agreement (as applicable);
    3. any Documentation we provide from time to time; and
    4. all Applicable Laws.

4.3 Prohibited Conduct

You must not, and must ensure your Authorised Users do not access and use the Askable Industry Streams (including any Industry Data):

  • in a way that we consider is inappropriate or unlawful, infringing on any third party’s rights (including Intellectual PropertyRights), misleading, deceptive, discriminatory, harmful, otherwise inappropriate, or in breach of the Agreement;
  • in a way that causes, or is likely to cause, us to breach Privacy Laws in relation to the Industry Data; and
  • in a way that is inconsistent with our Acceptable Use Policy.

4.4 Authorised Users

You may permit Authorised Users to exercise the rights granted to you under these Terms on your behalf provided that:

  • you are responsible for ensuring such Authorised Users comply with these Terms;
  • you agree you are responsible for any breach of these Terms by such Authorised Users,

and you indemnify us in relation to any claims, damages or losses arising in connection with any breach of this clause 4.4.

4.5 Updates and New Versions

  • During the Term, we may:
    • make fixes, modifications, enhancements or updates available to you in relation to Askable Industry Streams at no further cost (Updates); and/or
    • make available to you new versions of the Askable Industry Streams with materially significant differences from the previous versions, subject to you agreeing to pay any applicable additional fees (New Versions).
  • All Updates and New Versions are part of the original licensed copies of the Askable Industry Streams and will be governed by these Terms.

4.6 Beta Updates

  • In some circumstances, you may be invited to trial updates before they are made available more broadly (BetaUpdates). If you agree to be part of the relevant trial, you acknowledge that the Beta Updates will be in an early testing stage, may have bugs, incomplete features, or other issues, may change at any time, and may be withdrawn at any time without notice.
  • Askable does not warrant Beta Updates will work in accordance with notified specifications or at all, meet any specific requirements, or that any outputs or results from Beta Updates will be accurate, reliable, or suitable for any purpose. BetaUpdates are provided on an ‘as is’ basis (subject to any rights you may have under applicable Law).

5. Askable AI

Askable reserves its right to terminate our contractual relationship with Askable staff or any third party if they breach this policy.

  • Askable may use one or more third-party artificial intelligence (AI) service providers (collectively, AI Providers) to deliver, enhance, or support functionality across the Askable Platform. These AI Providers act as subprocessors engaged by Askable to process data on its behalf. The current list of subprocessors, including AI Providers, is maintained attrust.askable.com/subprocessors. Askable will provide not less than 14 days’ notice of any addition or replacement of anAI Provider.
  • AI Providers may support a range of capabilities, including but not limited to transcription, language processing, data analysis, summarisation, and content generation. These services operate across multiple Askable features and are not limited to any particular product, workflow, or Industry Stream. Askable may substitute or rotate between AI Providers at its discretion to maintain reliability, compliance, and service continuity.
  • When accessing or using features powered by AI Providers, you agree to:
    1. use AI-generated content responsibly and in compliance with all applicable laws and regulations;
    2. review and verify any Output before relying on or sharing it;
    3. avoid using or distributing Outputs in a manner that may cause harm, mislead others, or misrepresent their origin; and
    4. avoid submitting Personal Data or Confidential Information as Input unless you have all relevant rights and authorisations to do so.
  • Askable endeavours to ensure that each AI Provider processes data only under Askable’s documented instructions andsolely for the purpose of providing the contracted services.
  • Askable’s service-level commitments do not apply to any performance issue, delay, or failure arising from the acts, omissions, or unavailability of any third-party AI Provider or other external service upon which the Askable Platform relies.In the event that any Askable Industry Stream becomes unavailable or is interrupted, Askable will take reasonable steps to mitigate and restore affected functionality as soon as practicable.

6. Input and Output

Askable reserves its right to terminate our contractual relationship with Askable staff or any third party if they breach this policy.

  • To use Askable AI, you must provide text or data input (Input) to receive related output (Output).
  • You acknowledge and agree that:
    • Output may not be accurate, complete, free of errors, or unique; and
    • we do not make any warranty as to Askable AI, the Output, or the results that may be obtained from the use ofAskable AI or the accuracy of any information obtained through Askable AI, including with respect to the factualaccuracy of any Output or suitability for your use. Use of any Output is at your sole risk. You should not rely onfactual assertions in Output without independently fact checking their accuracy and assessing the suitability foryour use. You are solely responsible for the accuracy, legality, and suitability of any use you make of Outputs.
  • Personal Data (including any sensitive personal data in the Industry Data) may be included in Inputs to the Askable AI andmay be generated as Output. Such data may be processed by third party AI Providers acting as subprocessors inaccordance with clause 5(a). Clause 8 applies to any such Personal Data.

7. Fees and invoicing

7.1 Fees

  • You must pay the fees (if any) set out in the Documentation for your Trial Licence and/or Full Licence to us in accordance with the payment terms detailed in the Documentation (Fees).
  • If you do not pay the Fees or any portion of the Fees when due, then without limiting any other remedies available to us, we:
    1. reserve our rights to:
      1. suspend your access to the Askable Industry Streams; and
      2. charge a late payment fee,
        until the outstanding Fees are paid; and
    2. you are liable by way of liquidated damages for all amounts payable under this clause plus all costs and expensesof debt collection and enforcement.

7.2 Disputed invoices

If you dispute any invoice or other statement of monies due, you must notify us in writing as soon as reasonably practicable. Both partieswill negotiate in good faith to attempt to resolve the dispute promptly, and we will provide all evidence as reasonably requestedby you on demand to verify the disputed invoice or request for payment. If both parties have not resolved the dispute within 30days of you giving notice to us, either party may commence legal proceedings with respect to the disputed amount. Where onlypart of an invoice is disputed, the undisputed amount must be paid by you on the invoice due date.

Fee increases

  • During the Term, we may increase the Fees due to:
    1. a New Version being made available to you and you agreeing to use such New Version; or
    2. consumer price index changes, where such increase may only occur on each anniversary of the Commencement Date.
  • If we increase the Fees in accordance with clause 7.3(a):
    1. we will notify you of such increase; and
    2. you may terminate these Terms by written notice to us within 30 days of the notice contemplated in clause 7.3(b)(i). If, within 30 days of the notice contemplated in clause 7.3(b)(i), you do not notify us that you do not agree withthe Fee increase and wish to terminate these Terms, then you will be deemed to have accepted the increase to theFees.

7.3 Taxes

All amounts payable under these Terms are exclusive of any applicable Consumption Taxes or other taxes due, which will be added to those amounts and paid by you to us.

8. Data

  • You acknowledge and agree that:
    1. you are the controller of any Personal Data included in Input (including as part of the Industry Data) (PersonalData);
    2. you must collect, use, disclose, and otherwise handle Personal Data in accordance with Applicable Laws, includingprivacy laws in your jurisdiction;
    3. you must take reasonable steps to protect the Personal Data from misuse, interference, loss, and unauthorisedaccess, modification, or disclosure;
    4. you must promptly (and in any event within 72 hours) notify us if you become aware of any misuse, interference,loss, unauthorised access, unauthorised modification, or unauthorised disclosure of Personal Data (Data Breach).We will respond to Data Breaches in accordance with our Privacy Policy available here and Data ProtectionAddendum, available here.
  • With respect to any Personal Data included as Input by you, you acknowledge that Askable acts solely as the processoron your behalf, processing Personal Data only to operate, maintain, and support the Askable Industry Streams (e.g.generate responses, ensure security, troubleshoot) in accordance with the Agreement, these Terms, the Documentation,your instructions, and for the purposes set out in our Privacy Policy.
  • You may request deletion of any data related to your use of the Askable Industry Streams (including chat history, Outputs,ingested transcripts, generated concepts/evidence, and linkages) at any time by written request to us (including ontermination).
  • We reserve the right to delete any data the subject of clause 8(b) at our discretion (for example, to maintain systemperformance, or improve service reliability).
  • We may use deidentified data for any purpose, including to train AI models

9. Intellectual Property Rights

  • Unless otherwise stated in these Terms, we retain all rights, title, and interest in Askable Industry Streams and IndustryData. You are granted a limited licence to use Askable Industry Streams for the Term, and to use Industry Data for the purposes for which they were provided.
  • You retain all rights, title and interest in the Customer Material and Customer Data, and grant us a non-exclusive, non-transferrable, non-sublicensable licence to use the Customer Material and Customer Data strictly as necessary for us to provide you with access and use of the Askable Industry Streams in accordance with these Terms.
  • You may provide feedback, suggestions, or ideas about the Askable Industry Streams (Feedback). We may use, disclose, reproduce, and otherwise exploit Feedback for any reason without restriction or obligation to you.

10. Termination

  • This clause applies in addition to any termination rights under the Agreement.
  • You can terminate your access to Askable Industry Streams at any time on 30 days’ notice to us. You must pay any Fees(as applicable) up to the date of termination.
  • Termination or expiry of the Agreement automatically terminates your access to the Askable Industry Streams.
  • Askable Industry Streams Terms Page 53462-8181-9453, v. 1(d) Termination or expiry of these Terms will not affect clauses 1(d), 4.1, 6(b), 6(c), 7.1, 7.2, 7.4, 8, 9, 10, 11, or any provision ofthese Terms which is expressly or by implication intended to come into force or continue on or after the termination or expiry.

11. Definitions

In these Terms, unless the context expressly indicates otherwise:

  • Authorised Users means the users you permit to access and use the Askable Industry Streams on your behalf, inaccordance with these Terms.
  • Fees has the meaning given to that term in clause 7.1(a).
  • Full Licence means the licence you are granted to access and use the Askable Industry Streams for the Initial Term andany Rollover Term, as set out in the Documentation.
  • Initial Term means the initial term agreed in writing for you to access and use the Askable Industry Streams under the FullLicence.
  • Privacy Laws means the applicable privacy laws, regulations and codes in the jurisdiction.
  • Rollover Term means any further term agreed in writing for you to access and use the Askable Industry Streams under the Full Licence.
  • Trial Licence means the licence you are granted to access and use the Askable Industry Streams for the Trial Period, as setout in the Documentation.
  • Trial Period means the period you are granted access and use of the Askable Industry Streams under the Trial Licence.
